Terms of Service

In plain English: Use Xyronex lawfully and responsibly. You own your content. We own the platform. We provide the service in good faith but cannot guarantee it will be error-free. English law applies.

1. Who we are and what these terms cover

These Terms of Service ("Terms") form a legally binding agreement between you and Xyronex Ltd, a company registered in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Xyronex", "we", "us").

By creating an account or using the Xyronex platform ("Service"), you agree to these Terms. If you are using Xyronex on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 18 years old to use the Service. By using Xyronex, you confirm that you are 18 or older and that any information you provide is accurate.

You are responsible for keeping your account credentials secure. You must not share your password or allow others to access your account. You are responsible for all activity that occurs under your account.

You retain ownership of all content you create, upload, or store within the Service ("Your Content"). By using the Service, you grant Xyronex a limited licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for Your Content and represent that you have all rights necessary to upload and use it within the Service. You must not upload content that you do not have the right to share.

6. AI-generated content

Important: The Service uses AI language models to generate responses. AI outputs can be inaccurate, incomplete, or misleading. You are responsible for reviewing, verifying, and taking accountability for any decisions or actions based on AI-generated content. Do not rely solely on AI outputs for legal, medical, financial, or safety-critical decisions.

7. Intellectual property

The Xyronex platform, including its software, design, trademarks, and documentation, is owned by Xyronex Ltd and protected by intellectual property law. Nothing in these Terms transfers any ownership of the platform to you.

If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free licence to use that feedback to improve the Service.

8. Subscription and payment

Paid subscription plans are subject to the pricing and billing terms presented at the time of purchase. Subscriptions are billed in advance for the period selected. You may cancel at any time; cancellation takes effect at the end of the current billing period and no refunds are issued for the unused portion unless required by law.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

9. Availability and service levels

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may suspend the Service for maintenance, security, or operational reasons. We will endeavour to give advance notice of planned maintenance where possible.

We may suspend or terminate your access if you breach these Terms, engage in activity that harms other users or the Service, or if required by law. We will give notice where practicable before termination unless immediate action is necessary to protect security or other users.

Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

11. Limitation of liability

To the maximum extent permitted by law, Xyronex's total liability to you for any claim arising from or related to the Service is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim; or (b) £100.

We are not liable for: indirect, incidental, special, or consequential losses; loss of profits, revenue, data, or business; or losses arising from your reliance on AI-generated content.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold Xyronex harmless from any claims, losses, or expenses (including legal fees) arising from your use of the Service in breach of these Terms or applicable law, or from Your Content infringing the rights of any third party.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Service and close your account.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xyronex relating to the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
